Participation in any of our programs does not transfer ownership of your original creative work to us.

If you voluntarily submit material for publication, promotion, community sharing, a contest, anthology, website feature, testimonial, social media feature, public event, or other use by Gilad Creative Media, Inc. including AdamGilad.com and all of its associated websites, programs, products, services, and offerings (collectively, the “Company,” “we,” “us,” or “our”), additional permissions or licensing terms may apply.

Gilad Creative Media, Inc. including AdamGilad.com and all of its associated websites, programs, products, services, and offerings (collectively, the “Company,” “we,” “us,” or “our”) is intended to foster thoughtful, respectful, creative, and constructive participation.

By participating in live sessions, online communities, workshops, forums, chats, events, or other interactive areas, you agree not to engage in behavior that we determine to be disruptive, threatening, abusive, harassing, discriminatory, intimidating, defamatory, deliberately inflammatory, unsafe, fraudulent, unlawful, or materially harmful to the experience of other participants.

You also agree not to:

• Harass or threaten participants, instructors, staff, guests, or community members
• Repeatedly disrupt live sessions or community discussions
• Publish another participant's confidential or private information
• Record participants without authorization
• Impersonate another individual
• Use the community for unauthorized solicitation or commercial promotion
• Spam other participants
• Engage in unlawful activity
• Attempt to gain unauthorized access to our technology or systems
• Distribute malware or harmful code
• Share private course content outside the program
• Use the Services in a manner that materially interferes with another participant's ability to participate

6. RIGHT TO REMOVE OR EXPEL PARTICIPANTS

We reserve the right, in our sole and absolute discretion, to suspend, restrict, remove, or permanently expel any participant from any program, community, workshop, event, membership, communication channel, or Service if we determine that the participant's behavior is disruptive, inappropriate, harmful, unsafe, inconsistent with the purpose or standards of the community, or otherwise detrimental to participants in any of our programs.

We are not required to provide warnings, explanations, hearings, appeals, or an opportunity to cure before exercising this right.

A participant who is removed or expelled is not entitled to a refund of amounts previously paid, including amounts paid for time periods, sessions, content, memberships, or Services already made available before the date of removal.

If the participant is enrolled in a recurring membership or payment arrangement, future recurring membership charges will be canceled effective from the date of removal or expulsion, except for amounts already due or incurred before cancellation. This applies to monthly, quarterly, annual or any other limited time membership agreements mad.

No additional recurring membership charges will be intentionally processed after the membership has been terminated.

Removal from one program may, where appropriate, result in removal from additional Gilad Creative Media, Inc. programs or communities.

7. PAYMENTS, ORDERS, AND BILLING

Prices are displayed in U.S. dollars unless otherwise stated.

Payment is due according to the terms presented at checkout.

By providing a payment method, you represent that you are authorized to use that payment method and authorize us and our payment processors to charge the applicable purchase price, taxes, recurring fees, installment payments, or other amounts disclosed at the time of purchase.

We may correct pricing errors, refuse or cancel an order, or request additional information when reasonably necessary.

If we cancel a paid order because we are unable to provide the purchased product or Service and no substitute has been provided, we will refund the applicable amount paid for the canceled product or Service.

8. NO REFUNDS

ALL SALES ARE FINAL UNLESS A DIFFERENT REFUND POLICY OR MONEY-BACK GUARANTEE IS EXPRESSLY PROVIDED IN WRITING ON THE SPECIFIC SALES PAGE OR CHECKOUT PAGE FOR THE OFFER YOU PURCHASED.

Because our Services may provide immediate access to digital content, intellectual property, community resources, live programming, educational materials, recordings, writing exercises, or other benefits, payments are non-refundable.

Except where required by applicable law or where a specific written guarantee applies, we do not provide refunds, credits, prorated refunds, exchanges, or transfers because:

• You change your mind
• You do not attend live sessions
• You do not complete the program
• You do not use the available materials
• You fail to cancel before your next billing date
• Your personal schedule changes
• You disagree with the teaching style or program format
• You are unable to participate for personal reasons
• You are removed for violation of these Terms or community standards
• You expected a particular personal, professional, creative, spiritual, or financial result

Purchasing a program constitutes acceptance of this no-refund policy.

For billing questions, contact:

[email protected]

9. SUBSCRIPTIONS, MEMBERSHIPS, AND RECURRING PAYMENTS

Certain Services are offered through recurring memberships or subscription arrangements.

When you enroll in a recurring program, you authorize us to automatically charge the payment method associated with your account at the frequency and price disclosed when you enroll, until the subscription is canceled.

You may cancel a recurring membership according to the cancellation method provided through your account or by contacting:

[email protected]

Cancellation stops future recurring billing. Unless otherwise expressly stated, cancellation does not create a refund or credit for payments already processed.

To avoid the next recurring charge, cancellation must be received and processed before your next scheduled billing date.

Your access following cancellation will depend upon the terms of the specific offer.

In some cases, access may continue through the end of the paid billing period, at our discretion.

In other cases, including certain community, live-program, or membership offerings, access may end when the membership terminates, at our discretion.

The applicable program description or checkout terms control if they provide more specific cancellation details.

10. INSTALLMENT PAYMENT PLANS

An installment payment plan is not necessarily a subscription or month-to-month membership.

If you purchase a fixed-price program through an installment payment plan, you are purchasing the entire program and agreeing to pay the full purchase price in installments.

Unless the offer expressly states otherwise, discontinuing participation does not cancel your remaining installment obligations.

This provision is separate from recurring memberships that may be canceled prospectively.

11. FAILED PAYMENTS

If a payment fails, we may attempt to process the payment again as permitted by law and our payment processor.

We may suspend or terminate access to the Services while an account has an unpaid balance.

You remain responsible for amounts validly incurred before termination or cancellation.

12. CHARGEBACKS AND PAYMENT DISPUTES

If you believe a charge was made in error, please contact us first at:

[email protected]

Initiating a fraudulent, misleading, or knowingly improper chargeback does not eliminate your obligations under these Terms.

We reserve the right to provide these Terms, purchase records, login records, participation records, communications, and other relevant evidence to our payment processor, bank, or card network in connection with a payment dispute.

Nothing in this section limits any legitimate rights you may have under applicable consumer protection or payment card laws.

13. MEMBERSHIP-BASED ACCESS

Access to membership content, live sessions, community spaces, recordings, and other membership benefits generally exists only while the applicable membership remains active, unless the offer expressly provides otherwise.

There is no lifetime access unless lifetime access is specifically promised in writing as part of the offer you purchased.

If a membership expires, is canceled, is terminated, or remains unpaid, your access to membership benefits may be removed.

14. LIVE SESSIONS AND RECORDINGS

Certain programs are primarily live experiences.

Live workshops, discussions, writing sessions, community interaction, and guided instruction may constitute a substantial part of the value of the program.

Recordings, transcripts, summaries, or supplementary resources may be made available at our discretion and are not guaranteed unless expressly included in the applicable offer.

We do not guarantee that every session will be recorded or that every recording will remain available indefinitely.

15. RECORDING OF EVENTS AND PARTICIPANT APPEARANCES

Certain virtual or in-person events may be recorded for educational, archival, operational, or promotional purposes.

When recording is planned, we may provide notice through the registration page, program materials, platform notice, verbal announcement, or other reasonable means.

By choosing to participate after receiving notice that a session is being recorded, you understand that your name, image, likeness, voice, chat contributions, or comments may appear in the recording.

Where additional consent is legally required for a particular use, we will seek such consent.

Participants may not independently record sessions or other participants without our express permission and any consent required by law.

16. PRIVACY

Your use of the Services is also subject to our Privacy Policy.

Our Privacy Policy explains how we collect, process, store, disclose, and safeguard personal information.

You should review the Privacy Policy before providing personal information through the Services.

17. EMAIL, SMS, AND COMMUNICATION CONSENT

When you provide contact information, you authorize us to send communications that are reasonably related to your account, purchases, memberships, programs, events, registrations, transactions, customer support requests, or use of the Services.

You may also elect to receive marketing communications, newsletters, announcements, offers, and promotional messages.

Where required by law, marketing text messages or automated communications will be sent only after obtaining the applicable consent.

Consent to receive marketing communications is not a condition of purchase unless expressly permitted by applicable law.

You may unsubscribe from promotional emails using the unsubscribe mechanism contained in the email.

You may opt out of promotional text messages using the opt-out instructions included with those messages.

Certain transactional or service-related communications may continue even after you unsubscribe from marketing communications.

Message and data rates may apply to SMS communications.

18. CONFIDENTIALITY AND PRIVACY OF OTHER PARTICIPANTS

Our programs may encourage personal storytelling, reflection, discussion, and creative expression.

Participants may voluntarily share personal stories, writing, experiences, opinions, family matters, cultural experiences, or other sensitive information.

You agree to respect the privacy of other participants.

You may not publish, distribute, record, quote publicly, identify, or disclose another participant's private statements or personal information outside the program without that person's permission.

We cannot guarantee that every participant will comply with confidentiality expectations, so you should use your own judgment when deciding what information to share.

19. EDUCATIONAL AND CREATIVE PURPOSES ONLY

The Services are provided for educational, creative, cultural, informational, community, and personal development purposes.

Nothing provided through the Services constitutes medical, psychiatric, psychological, therapeutic, legal, tax, investment, or financial advice.

Participation in creative writing, storytelling, reflection, or discussion is not a substitute for professional medical or mental health care.

You should consult an appropriately qualified professional regarding matters requiring professional advice.

20. EMOTIONAL AND PERSONAL RESPONSIBILITY

Writing, storytelling, cultural exploration, and reflective exercises may sometimes raise emotional or personally sensitive subjects.

You are responsible for determining your own level of participation.

You may choose not to participate in a particular writing prompt, discussion, or exercise.

We do not guarantee that every topic, discussion, participant contribution, guest presentation, or creative exercise will be comfortable or appropriate for every individual.

If participation raises serious emotional or psychological concerns, you should seek assistance from an appropriately qualified professional.

21. NO GUARANTEE OF RESULTS

We make no guarantee regarding the results you may obtain from participating in the Services.

We do not guarantee:

• Publication
• Professional writing success
• Financial success
• Career advancement
• Personal transformation
• Increased creativity
• Emotional outcomes
• Relationships
• Audience growth
• Recognition
• Awards
• Media coverage
• Business opportunities
• Spiritual outcomes
• Any specific result whatsoever

Testimonials and participant stories represent individual experiences and do not guarantee that you will achieve the same or similar results.

Your results depend on many factors outside our control.

22. THIRD-PARTY SERVICES AND PLATFORMS

The Services may rely on third-party providers, including payment processors, video conferencing services, website platforms, community platforms, email providers, SMS providers, hosting providers, social media platforms, artificial intelligence services, and other technology providers.

Your use of those services may also be governed by the third party's own terms and privacy practices.

We are not responsible for the acts, omissions, availability, policies, security practices, or performance of independent third-party providers.

23. THIRD-PARTY LINKS

Our websites, programs, emails, or communities may include links to third-party websites, products, resources, articles, services, or organizations.

Providing a link does not necessarily constitute endorsement.

We are not responsible for the availability, accuracy, content, security, products, services, policies, or privacy practices of third-party websites.

You access third-party resources at your own discretion.

24. TECHNICAL REQUIREMENTS

Access to digital programs requires appropriate technology, which may include:

• A functioning internet connection
• A compatible browser
• A computer, smartphone, or tablet
• Appropriate audio or video capabilities
• Current software
• Access to required third-party platforms

You are responsible for obtaining and maintaining the equipment and connectivity required to participate.

We are not responsible for access problems caused by your internet provider, device, software, browser, settings, equipment, or other circumstances outside our reasonable control.

25. SERVICE AVAILABILITY

We attempt to maintain reliable Services but do not guarantee uninterrupted, error-free, or continuous availability.

Services may occasionally be unavailable due to maintenance, security issues, technical problems, provider outages, updates, emergencies, or circumstances outside our reasonable control.

We may modify platforms, technology providers, delivery methods, schedules, instructors, content, features, or program components when reasonably necessary.

26. PROGRAM CHANGES

We continually develop and improve our programs.

We reserve the right to modify program content, schedules, instructors, facilitators, speakers, formats, platforms, community features, supplemental materials, or other program elements.

We may also discontinue a program or feature.

If we permanently cancel a prepaid Service before delivering a material portion of what was purchased and do not provide a reasonably comparable substitute, we may provide an appropriate refund, credit, substitute program, or other remedy consistent with applicable law and the circumstances.

27. GUEST SPEAKERS AND PARTICIPANT OPINIONS

Programs may include guest speakers, instructors, facilitators, interviewees, contributors, participants, or community members.

Their opinions are their own and do not necessarily represent the opinions or positions of Gilad Creative Media, Inc..

We are not responsible for independently verifying every statement made by a guest or participant.

28. USER-GENERATED CONTENT

If you post or submit comments, messages, community posts, photographs, videos, testimonials, or other content to an interactive area of the Services, you are responsible for that content.

You may not submit content that:

• Infringes another person's rights
• Violates applicable law
• Contains malicious software
• Is intentionally deceptive or fraudulent
• Contains unlawful threats or harassment
• Violates another person's privacy
• Is defamatory
• Constitutes unauthorized advertising or solicitation

We reserve the right to moderate, remove, restrict, or delete user-generated content when we determine that doing so is appropriate.

29. TESTIMONIALS

If you voluntarily provide a testimonial, review, or endorsement and separately authorize us to use it, we may use the testimonial in accordance with the permission you provide.

We may edit testimonials for length, grammar, formatting, or clarity, provided we do not intentionally alter the material meaning of the statement.

You agree to promptly notify us if you believe your account has been compromised or accessed without authorization.

Sharing login credentials may result in suspension or termination without refund.

32. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

We disclaim warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and warranties arising from course of dealing or usage of trade, to the extent such warranties may legally be disclaimed.

We do not warrant that the Services will always be available, uninterrupted, secure, error-free, or free from harmful components.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

33. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GILAD CREATIVE MEDIA, INC.,AND THEIR OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, FACILITATORS, INSTRUCTORS, AGENTS, AFFILIATES, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR USE OF THE SERVICES.

To the maximum extent permitted by law, our aggregate liability arising from or related to a particular purchase or Service will not exceed the amount you paid to us for that purchase or Service during the twelve months preceding the event giving rise to the claim.

Some jurisdictions do not permit certain limitations of liability, so portions of this section may not apply to you.

Nothing in these Terms limits liability that cannot lawfully be limited or excluded.

34. ASSUMPTION OF RESPONSIBILITY

You are responsible for your own decisions, actions, participation, technology, creative work, communications, and use of information obtained through the Services.

You voluntarily assume the risks ordinarily associated with participating in online communities, educational programs, writing programs, workshops, live discussions, and digital services.

35. INDEMNIFICATION

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Gilad Creative Media, Inc., and their officers, directors, employees, contractors, representatives, agents, licensors, successors, and affiliates from third-party claims, liabilities, damages, losses, judgments, costs, or reasonable legal expenses arising from:

• Your unlawful use of the Services
• Your violation of these Terms
• Content you submit or distribute
• Your infringement of another person's rights
• Your misconduct in connection with the Services

This provision does not require you to indemnify any party for conduct for which indemnification cannot legally be required.

36. FORCE MAJEURE

We will not be responsible for delays, interruptions, cancellations, or failures caused by circumstances beyond our reasonable control.

Such circumstances may include natural disasters, fires, floods, earthquakes, severe weather, epidemics, pandemics, acts of government, war, terrorism, civil unrest, labor disruptions, utility failures, internet outages, platform outages, cyberattacks, transportation interruptions, illness or incapacity of key personnel, or similar events beyond our reasonable control.

Where reasonably possible, we may reschedule affected programming, provide substitute programming, change delivery methods, or take other reasonable measures.

37. TERMINATION

We may suspend or terminate your access to some or all Services if:

• You violate these Terms
• You fail to make required payments
• You engage in prohibited or disruptive conduct
• You misuse our intellectual property
• You threaten or harass another person
• You compromise the security of the Services
• We reasonably determine termination is necessary to protect the Company, its community, or other participants

Termination does not eliminate obligations that accrued before termination.

Provisions that by their nature should survive termination will remain in effect, including intellectual property, confidentiality, payment obligations, disclaimers, limitations of liability, indemnification, and dispute resolution provisions.

38. GOVERNING LAW

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles, except to the extent another law is required to apply.

39. DISPUTE RESOLUTION AND BINDING ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Except for claims that may properly be brought in small claims court and claims for injunctive or equitable relief relating to intellectual property, unauthorized access, misuse of confidential information, or similar matters, disputes arising from or relating to these Terms or the Services will be resolved through binding individual arbitration to the extent permitted by applicable law.

Before initiating arbitration, the complaining party should provide written notice describing the dispute and requested resolution and allow the other party a reasonable opportunity to resolve the matter informally.

Unless otherwise required by applicable law or agreed by the parties, arbitration will take place in Los Angeles County, California, or remotely where permitted by the applicable arbitration rules.

The arbitration will be conducted by a recognized arbitration provider under its applicable consumer or commercial rules, depending upon the nature of the dispute.

Nothing in this section prevents either party from seeking relief in a court of competent jurisdiction when applicable law gives that party a non-waivable right to do so.

40. CLASS ACTION WAIVER

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.

The arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that individual's claim, except where applicable law requires otherwise.

41. SEVERABILITY

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent legally permissible or severed where necessary.

The remaining provisions will remain in effect.

42. NO WAIVER

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

A waiver is effective only if expressly made by an authorized representative.

43. ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

We may assign these Terms in connection with a merger, reorganization, sale of assets, corporate restructuring, transfer of the applicable business, or other lawful business transaction.

44. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, checkout terms, specific program terms, and any other policies expressly incorporated by reference, constitute the agreement between you and us concerning the applicable Services.

If specific written terms accompanying a particular offer conflict with these general Terms, the more specific terms will control with respect to that offer.

45. CHANGES TO THESE TERMS

We may revise these Terms from time to time.

When we make changes, we may update the "Last Updated" date at the beginning of these Terms.

Where required by law or where a change materially affects an existing contractual relationship, we may provide additional notice.

Your continued use of the Services after revised Terms become effective constitutes acceptance of those revised Terms to the extent permitted by law.
